Welcome to Frelo, a freelancing platform designed to connect startups, companies, and freelancers in the fields of technology, design, content, and marketing. By using Frelo's website or services, you agree to comply with and be bound by the following Terms and Conditions (the "Terms"). Please read them carefully before using our platform.
Frelo is an online platform where companies or individuals ("Clients") can post project requirements, and freelancers ("Freelancers") can bid on these projects. Upon the selection of a Freelancer, both the Client and Freelancer work together to complete the project, with payment being made on a milestone basis. These Terms govern the use of Frelo's platform and services by both Clients and Freelancers. By registering for an account or using any of Frelo's services, you accept these Terms in full. If you do not agree to these Terms, please do not use the platform.
Definitions
- Platform: Refers to Frelo's website, tools, and services available at [frelo.com].
- Client: Any person or business entity posting a job or project on the Frelo platform to hire a Freelancer.
- Freelancer: Any person providing freelance services by bidding on projects posted on the Frelo platform.
- Milestones: Pre-defined stages in a project, agreed upon by both the Client and Freelancer, with specific deliverables and payment associated with each.
- Commission: A fee charged by Frelo for facilitating the transaction between the Client and Freelancer.
Account Registration
Eligibility
- Users must be at least 18 years of age to create an account on Frelo.
- By creating an account, you represent and warrant that all information you provide is accurate, truthful, and current.
User Account
- Clients and Freelancers must register an account to use the platform's services.
- You are responsible for safeguarding your account details, and any activities conducted through your account.
- Frelo reserves the right to suspend or terminate accounts that provide false information or violate these Terms.
Project Posting and Bidding
Project Posting by Clients
- Clients may post projects on the platform by providing necessary details such as project description, requirements, budget, and deadlines.
- Clients are required to provide clear and accurate information to ensure proper understanding by Freelancers.
Bidding by Freelancers
- Freelancers can submit bids on projects by providing their proposed rates, timeframes, and relevant experience.
- Once the bid is submitted, Clients can review and communicate with Freelancers before making a selection.
Project Milestones and Payments
Milestone Structure:
- Each project posted on Frelo is divided into three milestones, with each milestone containing specific tasks agreed upon by both the Client and Freelancer.
- Clients and Freelancers must mutually decide on the tasks and deliverables for each milestone before work begins.
Payment on Milestone Basis:
- Freelancers will receive payment on a milestone basis, with funds being released after the successful completion and approval of each milestone.
- Clients are responsible for reviewing and approving milestone deliverables in a timely manner.
Milestone Disputes:
If there is a dispute regarding the completion or quality of a milestone, both parties must engage in good faith negotiations to resolve the issue. Frelo reserves the right to mediate disputes if necessary.
Commissions and Fees
Freelancer Commissions:
Frelo charges a commission on Freelancers for each project completed through the platform. The commission is deducted from the Freelancer's payment once a milestone is approved by the Client.
The commission rates are as follows:
- Standard Projects: 10%
- Retainer Projects: 20%
Client Fees:
- Clients are charged based on their use of the platform for retainer-based hiring. The retainer fee structure is determined at the time of project posting and is due monthly or on a pre-agreed basis.
- Clients must ensure timely payments to avoid disruptions in their use of the platform's services
Project Completion and Feedback
Completion of Project:
- Once all milestones are completed and payments have been released, the project will be marked as complete.
- Clients and Freelancers are encouraged to leave feedback and ratings for each other to help maintain trust and transparency on the platform.
Client and Freelancer Responsibilities:
- Both parties must provide timely communication and fulfill their respective obligations to ensure project success.
- Freelancers are required to deliver work as per the agreed-upon milestones and specifications. Clients must provide the necessary resources and feedback for Freelancers to complete their work.
Dispute Resolution
Mediation:
In case of disputes between Clients and Freelancers, Frelo will attempt to mediate and help both parties reach an amicable resolution.
Final Decisions:
Frelo's decision in case of any dispute resolution will be final and binding. However, users are encouraged to resolve issues independently whenever possible.
Cancellations and Refunds
Client Cancellations:
Clients may cancel a project before any milestones are started, but will be required to pay for any work completed on milestones in progress.
Freelancer Cancellations:
Freelancers may withdraw from a project if mutually agreed upon with the Client. If a Freelancer cancels mid-project without proper justification, Frelo reserves the right to penalize the Freelancer or issue a partial refund to the Client.
Intellectual Property
Ownership of Work Product:
- Upon the successful completion and full payment of a project, all intellectual property rights related to the work product will be transferred to the Client unless otherwise agreed upon.
- Freelancers retain the right to showcase non-proprietary work as part of their portfolio.
Infringement:
Users agree not to post or use any content that infringes the intellectual property rights of others. If Frelo receives a valid complaint, the infringing content may be removed, and the responsible party may face account suspension or legal action.
Confidentiality
Freelancers and Clients are required to maintain the confidentiality of any proprietary information shared during a project. Freelancers may not disclose or use confidential information for any purpose other than completing the assigned project.
Limitation of Liability
Frelo is a neutral platform facilitating connections between Clients and Freelancers. Frelo does not guarantee the quality of Freelancers' work or the accuracy of Client project details. The platform is not liable for:
- Any direct, indirect, or consequential damages arising from the use of the platform.
- Disputes, delays, or losses incurred during project execution or payment processing.
Termination
Frelo reserves the right to terminate or suspend accounts for violation of these Terms, fraudulent activity, or abusive behavior. Users may terminate their accounts at any time, but any ongoing projects must be completed, and outstanding fees must be settled before the account closure.
Amendments
Frelo may update or amend these Terms at any time. Users will be notified of significant changes via email or through notifications on the platform. Continued use of the platform following any changes signifies acceptance of the updated Terms.
Governing Law
These Terms are governed by and construed in accordance with the laws of Mumbai, Maharashtra, India. Any legal disputes arising from the use of the platform will be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
